Terms and Conditions for Product Upload

These Terms of Service ("Terms") govern your use of Product Upload's website at https://productupload.co together with our related apps, plugins, browser extension, and platform integrations (the "Service"). By using the Service you agree to these Terms. If you use the Service for a business, you agree on its behalf.

1. The Service

Product Upload helps you find products and add them to your online store using AI. Depending on the version you use, the Service can: search supported marketplaces and retrieve product data through their APIs and licensed data providers; retrieve product data from a product page URL that you provide; generate and translate product titles, descriptions, specifications, images, tags, and SEO fields; and create or update products in stores you connect (for example on Shopify, WooCommerce, Wix, or BigCommerce). Some versions are limited to specific sources. For example, our WordPress.org WooCommerce plugin imports only from supported marketplaces and does not import from arbitrary URLs.

2. Your account and connected stores

You are responsible for your account and for the stores and credentials you connect. You must provide accurate information, keep your credentials secure, and have the right to connect any store you link to the Service.

3. Acceptable use and your responsibilities

The Service is a productivity tool, and you are responsible for what you import and publish. You agree that you:
- have the right to list, resell, and use the products, images, and content you import;
- will comply with the terms of any marketplace, supplier, or platform you use, and with applicable law;
- will not use the Service to copy products or content you do not have the right to sell, or to retrieve data from any source in a way that violates that source's terms or access controls;
- are responsible for fulfillment, shipping, pricing, vetting suppliers, and customer service for your store.

When you ask the Service to import from a product URL, you direct us to retrieve that specific page on your behalf, and you are responsible for ensuring you have the right to do so.

4. AI-generated content

The Service uses AI to generate and translate content. AI output can be inaccurate, incomplete, or include details that do not match the source product. We do not warrant the accuracy, originality, licensing, or fitness of any sourced or generated content, and you must review every product before publishing it. As between you and us, you own the product content you create with the Service, and you are responsible for it.

5. Plans, credits, and payment

Paid plans provide a set allowance of searches or imports as described at checkout. Payments are processed by Stripe. Unless stated otherwise or required by law, fees are non-refundable. We may change pricing and plans on a going-forward basis.

6. Third-party services

The Service relies on third parties, including marketplaces, data and extraction providers, AI providers, and payment, hosting, email, and analytics providers. Your use of the Service is also subject to those parties' terms where applicable. See our Privacy Policy at https://productupload.co/privacy-policy for the list of providers and the data involved. We are not responsible for third-party services or for the content of any marketplace or source.

7. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that any content will be accurate or lawful for your intended use.

8. Limitation of liability

To the maximum extent permitted by law, Product Upload will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total liability for any claim relating to the Service will not exceed the amount you paid us for the Service in the 12 months before the claim.

9. Indemnity

You agree to indemnify and hold Product Upload harmless from claims, losses, and expenses arising from your use of the Service, the products and content you import or publish, or your breach of these Terms.

10. Suspension and termination

We may suspend or terminate your access if you breach these Terms or misuse the Service, including importing products you do not have the right to sell or retrieving data in violation of a source's terms. You may stop using the Service and disconnect your stores at any time.

11. Changes to the Service and Terms

We may change the Service and these Terms from time to time. If we make material changes to these Terms, we will update the effective date above and, where appropriate, notify you. Continuing to use the Service after changes take effect means you accept them.

12. Governing law

These Terms are governed by the laws of New Zealand, without regard to conflict-of-laws rules.
